Terms of Service

1. Agreement Overview

These Terms of Service (“Terms”) govern your use of the website design, hosting, and management services (“Services”) provided by ZeroFuss Web ABN 34525542428 (“we”, “us”, “our”). By subscribing to or using our Services, you (“Client”, “you”) agree to be bound by these Terms.

2. Services Provided

We provide the following under your monthly subscription:

  • Custom website design and development using Next.js, tailored to your trade or business.
  • Premium edge hosting on a global content delivery network with SSL/TLS encryption.
  • Daily automated backups of your website.
  • Local SEO optimisation including structured data, meta tags, and “near me” keyword targeting for your service area.
  • Ongoing content updates — you email us changes and we implement them, typically within the same business day.

3. Subscription & Pricing

  • Setup fee: $0 AUD. There is no upfront cost.
  • Monthly fee:$149–$199 AUD per month (depending on the plan selected), billed monthly in advance.
  • Minimum term: 12 months from the date your website goes live.
  • Prices are in Australian Dollars and inclusive of GST where applicable.
  • We reserve the right to adjust pricing with 30 days’ written notice. Any price change will take effect at the start of your next billing cycle after the notice period.

4. Website Ownership

After completing 12 consecutive months of paid subscription, full ownership of the website code and design transfers to you. You are free to host it elsewhere or continue with our managed service. If you cancel before 12 months, we retain ownership of the website code and assets.

5. Client Responsibilities

  • Provide accurate business information, logo, images, and content required for your website build.
  • Respond to reasonable requests for information within 7 business days to avoid project delays.
  • Ensure any content you supply does not infringe third-party intellectual property rights.
  • Maintain valid payment details on file for ongoing billing.

6. Content Updates

Your subscription includes reasonable content updates — text changes, image swaps, adding new sections, updating business hours, and similar amendments. Requests that constitute a full redesign or significant structural rebuild may incur additional charges, which we will quote before proceeding.

7. Payment & Late Fees

Payments are processed automatically via your chosen payment method. If a payment fails, we will notify you and allow 7 days to resolve the issue. If payment remains outstanding after 14 days, we reserve the right to suspend your website until the balance is settled. A late fee of $15 AUD may apply per overdue payment.

8. Cancellation & Termination

  • Within the minimum term:If you cancel before completing the 12-month minimum, the remaining months’ fees become payable immediately as an early termination fee.
  • After the minimum term:You may cancel at any time with 30 days’ written notice. No further charges will apply after the notice period.
  • Termination by us: We may terminate your subscription immediately if you breach these Terms, engage in illegal activity through the website, or fail to pay for 30 or more days.

9. Acceptable Use

You agree not to use our Services to host, distribute, or promote content that is unlawful, defamatory, obscene, fraudulent, or infringes on the rights of others. We reserve the right to remove any content or suspend service if we reasonably believe it violates this clause or applicable Australian law.

10. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law, our total liability for any claim arising from or related to the Services is limited to the fees you have paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost revenue or business interruption. Nothing in these Terms excludes or limits consumer guarantees under the Australian Consumer Law.

11. Uptime & Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not responsible for downtime caused by third-party providers, force majeure events, or issues outside our reasonable control.

12. Intellectual Property

All content you provide (logos, images, copy) remains your intellectual property. Subject to Section 4, we retain ownership of the underlying website code, framework, and design templates until ownership transfers at 12 months. We may display your completed website in our portfolio unless you request otherwise in writing.

13. Dispute Resolution

If a dispute arises, both parties agree to attempt resolution in good faith through direct negotiation. If unresolved within 30 days, the dispute may be referred to mediation administered by the Resolution Institute (Australia). These Terms are governed by the laws of the State of Victoria, Australia, and the parties submit to the jurisdiction of Victorian courts.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
